1) The applicant is required to read thoroughly and understand the terms and conditions, policies, procedures, code of ethics and business opportunities of the facilitator as given below. This application/agreement form is considered as an authentic and legally binding document. This contract is between the distributor applicant (herein after referred to as applicant) and PHPL (hereinafter referred to as facilitator).

2) If the applicant agrees to adhere to and abide by the conditions mentioned hereunder, he/she shall become a distributor on payment of the prescribed enrollment fee to the facilitator by way of a crossed demand draft.

3) The applicant should have completed minimum 18 years of age and shall be competent to enter into contract as provided in the Indian Contract Act.

4) For joining as an independent applicant of the facilitator, the applicant will have to make the prescribed payment towards enrollment fee by way of a crossed demand draft favoring Predicare Health Pvt. Ltd. payable at Pune.

5) If the applicant is a Partnership firm/Private limited company, then the applicant has to provide all necessary documents pertaining to the partnership during the registration as applicant.

6) While placing orders for any of the products/services available with the facilitator, the applicant will have to pay the charges of account maintenance.

7) The facilitator under no circumstances will accept any payment in cash from any distributor .If anybody payes in cash to any third person who is either working as a distributor or otherwise it is his responsibility and facilitator will not be held responsible if any thing goes wrong.

8) The facilitator has not authorized any official, officer or distributor of the facilitator to receive any amount in cash on behalf of the facilitator towards the enrollment fee, or cost of products/services, or any other charges as the case may be.

9) If anybody makes any payment in cash, it will be at his/her own risk and under no circumstances, will the facilitator be answerable to such unauthorized cash payments.

10) The initial payment made by the applicant is to avail the Product/services offered by the company and at the same time he/she is eligible to become a distributor to sell our product & services; the same payment is not refundable under any circumstances. The packages include the product/services cost, registration fee, the processing fee and the administrative costs.

11) All the product & services will be offered from Pune office only; Out station distributor has to take all the product/services from pune office only.

12) After making payment He/She should take services within 3 months from date of payment ;after that PHPL will not be responsible to deliver the same product / services for which payment is made.

13) Distributor will be eligible for incentives or income only as per the volume of business done by him that is also subject to the eligibility norms formulated by the facilitator. The facilitator does not assure any incentive or income to the Distributor on merely account of his/her joining the facilitator.

14) The Distributor will not be a consumer, agent, or employee of the facilitator. His/her position being so, he/she cannot bind the facilitator, in any manner nor he/she has any authority to bind the facilitator or to represent or speak on behalf of the facilitator.

15) The facilitator will approve the relation by issuing an official receipt and an online registration, which will carry the password and an identification number known as Track ID as chosen by the applicant himself/herself. This password and account ID have to be quoted by the Distributor in all his/her transactions and correspondence with the facilitator. The track ID once chosen cannot be altered at any later point of time.

16) The facilitator will, in no case, entertain any communication without account ID and password.

17) The facilitator will not entertain any request for any changes made after finalizations of the product to be purchased.

18) The Distributor has to pay annual renewal fees at the end of 12 months or after earning 8 lacs. Through PHPL incentive structure (Which ever is earlier)of their enrollment as per the facilitator norms.

19) The Dstributor will have to buy products/services from the list of PHPL approved services only.

20) Administration and Service Charges will be deducted as per Facilitator norms; it may change if required. TDS will be deducted as formulated by the Government.

21) In case of Partnership distributorship/ Distributorship in name of a firm, the private limited facilitator distributors have to submit all relevant Partnership deeds and the relevant MOU.

22) All individual Distributor should adhere to Rules & Regulations formed by the organization & if any of them is found guilty of not observing the same, then he/she will be terminated from the facilitator.

23) The facilitator reserves all rights to terminate a Distributor.

24) Once terminated, he/she cannot enter any of the PHPL´s premises/meeting locations and his/her incentives/income will be stopped immediately.

25) The Distributor shall bear true faith and allegiance to the facilitator and shall uphold the integrity and decorum of the facilitator and shall maintain good relations with other associates and other clients.

26) The Distributor shall always behave and act in a dignified manner befitting the status of a Distributor.

27) The Distributor shall not compel or induce or mislead any person with any false statement/promise to join the facilitator or to purchase any product.

28) The facilitator will not be answerable for any promise, assurance given by any Distributor to any person, unless it is in accordance with the approved business plans and terms of the facilitator. Hence, the applicant shall go through the website and the brochures and notices issued by the facilitator. Through these facilitator sources, he/she will fully inform himself/herself on all these matters.

29) The applicant shall ensure that all the information/furnished to the facilitator is correct and properly entered. Any request for correction furnished by the distributor as to his/her sponsor or placement details will not be entertained, once payment statements are processed.

30) The facilitator reserves the right to reject any application at its own discretion.

31) The facilitator reserves the right to modify the terms and conditions, products, schemes, business and policies, giving prior notice through its website www.predicarehealth.com and it will be binding on all distributor´s of the facilitator.

32) The facilitator reserve all rights to declare or change in commissions structure of the distributor. Any objection or query regarding the same will not be entertained.

33) The terms and conditions within above mentioned shall be governed in accordance with the Law in force in the territories of India. Disputes, if any arise, shall be subject to the exclusive jurisdiction of the Court of Pune.

34) If any dispute or difference arises between the parties hereto touching the business or interpretation of any terms and conditions or as to incentives, income etc., relating to the business of the facilitator, the same shall be referred to arbitration and the arbitration shall be governed by the Arbitration And Conciliation Act, 1996.
